Sherwood Printers: Terms and Conditions

Dear Customer, by placing your order with Sherwood Printers, you understand, agree and accept all of the following terms and conditions and acknowledge that you have verified the contents, spelling, layout, colors etc. are all correct and that you are responsible for the payment in full. Sherwood Printers reserves the right to modify, change or amend these terms & conditions without any notice. Sherwood Printers is NOT responsible for any copyright material you supply for printing. It is the responsibility of the customer.

Artwork Specifications:

Your artwork design and images must be provided in 300 DPI hi-rez CMYK pdf format with crop marks. Sherwood Printers is not responsible for any color shift or any printing quality due to customer provided artwork. Your artwork must have 0.125 inches bleed all around with crop marks. Additional fees may apply at our own discretion for the files larger than 30MB, converting RGB files to CMYK, adding bleed and crop marks etc. We don't accept any responsibility for variations in color on the artwork you see in the monitor Vs printing on the paper. Please allow a variance of 0.0625 inches on jobs involve spot UV, die cutting, foil stamp, emboss etc. Sherwood Printers is not liable for any kind of aqueous or UV coating which may affect or change the appearance of the printed colors. Please ensure any type and images are at least 0.25 inches from the edge of final trim. Sherwood Printers is not responsible for type, art or images that are cut off if these guidelines are not followed. It is recommended not to use a frame or thin border around your artwork to avoid an uneven frame around your card. DO NOT send any "one-of-kind" transparencies, prints or artwork.

Our Wide Range of Standard Inks

Price includes this wide range of standard inks: Black, Reflex Blue, Process Blue, Yellow, Red 185, Red 032, Rhodamine Red, Warm Red, Rubine Red, Orange 021, Purple, Violet, Pantone Green, Green 347, Burgandy 201, Process Cyan, Process Yellow, Process Magenta, Process Black.

Extra Charges on PMS Inks:

PMS Colors other than what is mentioned above and standard Gold and Silver are $30 extra per PMS per run. Metallic PMS and Florescent colors will be $60 extra per run. Prices are based on hi-rez pdf files supplied ready to print. Additional charges may apply on heavy ink coverage jobs and extra work needed in doing changes or corrections to the orders etc.

Print Type:

Decision to print your job either on digital or offset press is up to us based on quantity, stock, timeline and colours used unless specified while placing order and agreed by Sherwood Printers. Normally smaller quantities are printed digitally except letterheads.

Turn Around Time & Order Processing:

Any order is processed only after we receive the order with the above conditions are met and an order form duly filled in and paid off. The turnaround time starts only after approval of proofs. Sherwood Printers rarely misses any production schedules. However considering malfunctions and or equipment failure and production time lost in fixing the machines, we will do everything possible to produce your order on time. Please note the turn around time is not guaranteed and contractual. So, please plan your job in a timely manner, especially on date sensitive materials. Orders are processed based on first come first served. Production will begin immediately on all orders that meet our terms and conditions and prepress guidelines. No proofs will be sent out unless otherwise requested. PDF proofs may take between 24 - 48 hours, depending on the volume of the orders we have. PDF proofs are meant for you to check the contents and layout only and overall colors.

Colour Matching and Proofs:

Please note that Sherwood Printers does NOT guarantee color matching. The calibration differs monitor to monitor and what you see in your monitor may differ when printed on paper as well. Customer supplied proofs are not acceptable as they are not calibrated to our presses. To ensure proper colour matching customer must purchase a press match proof. Jobs without proofs will be printed following generally recognized industry standards. Because of differences in equipment, processing, proofing substrates, paper, inks, pigments, and other conditions between color proofing and production pressroom operations, a reasonable variation in color between color proofs and a completed job shall constitute acceptable delivery. Sherwood Printers does NOT guarantee to match the color on repeat orders from one run to another.

Promotion:

Please note that we reserve the right to use any item produced by us for print and display promotion, unless otherwise specified in writing at the time the order was placed.

Payments:

Payments can be made by credit cards (Visa, Master Card), Certified Checks, Paypal, Email Money Transfer at the time of placing the order, based on the customers credit terms. The person placing the order is personally responsible for any outstanding amount owing. As a security for payment for any sum due or to become due under terms of any agreement, printer shall have the right, if necessary, to retain possession of and shall have a lien on all customer property in printer's possession including work in process and finished work. The extension of credit or the acceptance of notes, trade acceptance or guarantee of payment shall not affect such security interest and lien. Interest at 1.5% per month will be charged on all overdue amounts.

Warranty:

In any unlikely event you notice an error on the order you received, Sherwood Printers must be promptly notified of the problem immediately. Claims for defects, damages, shortages must be made by the customer in writing within a period of fifteen (15) days after the receipt of all or any part of the order. Failing to make such claim within the stated period shall constitute irrevocable acceptance and an admission the customer is in full compliance with the terms, conditions and specifications outlined herein. In the event of an error in printing, Sherwood Printers will determine whether the defect is of such nature as to qualify for a discount or re-print. Sherwood Printers' liability should be limited to reprinting of any defective order and in no case will include special or consequential charges, including expenses such as, rush shipping, profits lost due to damages. This guarantee applies only to defects in workmanship or materials. It does not cover defects in the files submitted for printing. Over runs and under runs are not to exceed 10% of the order.

Cancellations & Refunds:

Refunds are not allowed once an order is in production and files are submitted. There is no partial refund for the work not completed. Proof read all materials prior to submitting artwork. Customers wishing to cancel orders once PDF proofs have been generated will incur a mandatory $35 fee. All sales are final and since each order is unique, it has no re-sale value. Any orders claim refund, must be shipped back to Sherwood Printers at the customers expense. Our quality control department will inspect and verify if the complaint is valid before considering any refund. If it is verified that the Sherwood Printers made an error, we will reprint the order. No refunds or credit.

Orders – Pick-Ups, Shipping & Handling:

Orders when ready are to be picked up within a week's time. Sherwood Printers will NOT be responsible for any orders which are NOT picked up within a week's time after it is ready. Sherwood Printers is NOT responsible for any delays, damage or loss of packages caused in shipping. These are sole responsibility of the carrier providing shipping services. Sherwood Printers will not be liable for any claims of loss of business or damages due to shipping delays or damage. A maximum claim of $100 per shipment is covered usually by any carrier on damage liabilities. If a package is returned to Sherwood Printers due to an error made by the customer, Sherwood Printers will reship the package to the correct address and charge the additional shipping and handling fee for the shipment.

Responsibility:

We take every single care to safeguard your material however we are NOT responsible for any loss or damage of your artwork or materials. Working files, plates, digital print ready files and other items when supplied by the printer shall remain his exclusive property unless otherwise agreed in writing. It is agreed that you as a customer certify that you own the rights to use the image(s) being reproduced on your order.

Coverage:

We will maintain fire, extended coverage, vandalism, malicious mischief and sprinkler leakage insurance on all property belonging to the customer while such property is in the our possession: printer's liability for such property shall not exceed the amount recoverable from such insurance. Customer's property of extraordinary value shall be insured through mutual agreement.

Taxes:

Please note the following tax rates by province. The rate will be charged based on the location the product will be shipped to. For example: If you are located in Ontario and have indicated the products will be sent to BC, a 12% tax rate will be charged.

USA orders are tax exempt. Materials printed in Canada ship duty free to the USA.

Materials; Indemnification:

The Customer is responsible for all materials furnished to the Company. The Company reserves the right to refuse to print or otherwise reproduce any materials submitted for any reason, including, without limitation, materials which may reasonably be believed to violate patent, copyright, trademark, license or other proprietary rights, or be pornographic or offensive, provided the Company assumes no duty to make such determination. The Customer warrants and represents to the Company that the Customer has the unconditional and unrestricted right to print or otherwise reproduce all of the materials, and the Company is hereby authorized to reproduce all of the materials supplied. The Customer further warrants that the materials comply with all applicable Federal and Provincial laws, do not infringe on any copyright, trademark, or other proprietary right, do not contain any libelous or otherwise actionable statement, nor otherwise violate the rights of or cause damage or injury to any person. The customer shall indemnify and hold harmless the Company from any and all loss, cost, expense, and damages (including court costs and reasonable attorney fees) on account of any and all matter of claims, demands, actions and proceedings that may be instituted against the Company on grounds alleging that the said printing violates any copyrights or any proprietary right of any person, or that it contains any matter that is libelous or obscene or scandalous, or invades any person's right to privacy or other personal rights. The customer agrees, at the customer's own expense, to promptly defend and continue the defense of any such claim, demand, action or proceeding that may be brought against the printer, provided that the printer shall promptly notify the customer with respect thereto, and provided further that the printer shall give to the customer such reasonable time as the exigencies of the situation may permit in which to undertake and continue the defense thereof.
